General meeting of shareholders

The shareholders participate in the administration of the company mainly through resolutions adopted at the General Meeting of Shareholders. The Board of Directors convenes the General Meeting of Shareholders. Notice to the General Meeting of Shareholders shall be delivered to shareholders no earlier than two months and no later than three weeks prior to the meeting, however, at least nine days before the record date of the meeting. The notice shall be delivered by sending it to the addresses entered in the list of shareholders, or, alternatively, within the same time limits in another written form, for example by e-mail or by publishing the notice on the company’s website.

To be eligible for participation in the General Meeting of Shareholders, the shareholder shall register with the company no later than the date given in the notice to the meeting, which can be no earlier than ten (10) days prior to the meeting. The General Meeting of Shareholders may be held at the company’s domicile or any other place in Finland.

The Ordinary General Meeting of Shareholders shall be held annually within six months of the end of the financial period on a date determined by the Board of Directors. In accordance with the Articles of Association, the Ordinary General Meeting of Shareholders shall decide upon: the adoption of the financial statements, the use of the profit shown on the balance sheet, the discharge of the members of the Board of Directors and the CEO from liability, the number of the members of the Board of Directors, and the remuneration of the members of the Board of Directors and the auditors. The Ordinary General Meeting of Shareholders shall also elect the members of the Board of Directors and the auditors, as well as resolve any other matters in the notice to the meeting.

An Extraordinary General Meeting of Shareholders shall be convened when determined necessary by the Board of Directors, or if the auditor or shareholders representing at least one-tenth (1/10) of the outstanding shares request it in writing to deliberate on a specified matter.
